Mnesium — End User License Agreement
Version 1.0 — 5 September 2026
Please read this agreement before using Mnesium. By accepting it you agree to be bound by it. If you do not accept it, do not use the application.
1. Parties
This Agreement is between you and Load and Play, publisher of Mnesium (the "Publisher"), reachable at hello@loadandplay.com.
Your purchase is made from Paddle.com Market Ltd, which acts as merchant of record and authorised reseller. Billing, taxes and refunds are handled by Paddle under its own terms. This Agreement governs your use of the software.
2. Licence granted
The Publisher grants you a perpetual, non-exclusive, non-transferable licence to install and use Mnesium on any Mac you own or control, for your own use.
One licence, one person — not a count of machines.
3. Trial
Mnesium runs in full for 30 days from first launch without a licence. The trial is measured locally on your Mac. It requires no account, no registration and no network connection.
4. Updates included
Your licence includes every version released within one year of your purchase date. Those versions remain yours to run indefinitely. Versions released after that year require a new licence.
5. Perpetual licence, and what it depends on
Your licence does not expire: the versions covered by your update window remain yours to run, for as long as they run.
But Mnesium works by reading and operating software published by others — Apple's operating system, and the AI tools you install yourself. The Publisher controls none of them, and cannot guarantee that a future change to their formats, interfaces or availability will leave Mnesium working.
Within your update window, the Publisher will maintain compatibility as far as it reasonably can. Beyond it, no such maintenance is provided.
This describes a dependency; it does not waive your statutory rights.
6. Agent actions, and your responsibility
Mnesium can operate an AI agent that reads and modifies files on your Mac and runs commands on it.
You choose how much approval that agent requires, and you may reduce it. You are responsible for what you authorise: for reviewing changes before keeping them, and for maintaining your own backups.
The Publisher does not control, and is not liable for, the output or the actions of a third-party model — including loss or corruption of your files, your code or your data.
7. Third-party software
Mnesium operates software you have installed yourself, under your own accounts — notably Anthropic's Claude Code. The Publisher does not supply, license or control that software. Your use of it is governed by its own terms and by your agreement with its provider.
Mnesium also includes open-source components, listed with their licences in the application.
8. Your licence key identifies you
Your key carries the email address used at purchase, and that address is displayed in the application. Sharing your key shares your address.
9. What you may not do
- Redistribute, resell, rent or sublicense the software or your licence key.
- Remove or alter licensing or attribution mechanisms.
- Reverse engineer the software, except where that right cannot lawfully be excluded.
10. Your data
Mnesium stores everything locally on your Mac. You are responsible for your own backups. The Publisher has no access to your data and therefore cannot recover it.
11. No warranty
The software is provided "as is", without warranty of any kind, to the fullest extent permitted by law.
Nothing in this Agreement excludes the statutory warranties owed to consumers under applicable law, including the French garantie légale de conformité and the garantie des vices cachés.
12. Limitation of liability
To the extent permitted by law, the Publisher's total liability under this Agreement is limited to the amount you paid for your licence. The Publisher is not liable for indirect or consequential loss, including loss of data or loss of profit.
Nothing here limits liability for death or personal injury, for fraud, or for gross negligence.
13. Termination
This licence ends if you materially breach it. On termination you must stop using the software and delete it.
14. Changes to this Agreement
The version you accepted is recorded in the application with its date. A material change — to the scope of the licence or to the handling of your data — asks for your acceptance again. Corrections of form do not.
15. Governing law
French law governs this Agreement. If you are a consumer, you keep the mandatory protections of your country of residence.
